These Perk Partner Program Terms (the “Program Terms”) are an agreement between Stockyard Social LLC (“Stockyard Social”) and the business that enrolls in the Stockyard Social Perk Partner program (the “Business”). The person accepting these Program Terms represents that he or she has authority to bind the Business.
1. The Program
The Perk Partner program lets businesses offer perks to Stockyard Social members through the My Stockyard App and related Stockyard Social channels. The program has three parts:
Perk Partner: free enrollment, including a business profile, a member perk and access to the partner dashboard.
Partner Launch Package: a one-time paid onboarding and launch service.
Featured Perk Partner: a paid monthly plan for featured placement and promotion, available to businesses that have purchased the Partner Launch Package.
2. Enrollment and Authority
A Business enrolls through a verified Stockyard ID. A person who requests to manage an existing business listing must submit an ownership claim, which Stockyard Social reviews before granting access. Stockyard Social may approve, decline or revoke management access at its discretion, including when it cannot confirm a person’s authority to act for the Business.
3. Listings and Perks
The Business submits its profile, listing content and perk through the partner dashboard. Nothing the Business submits is published until Stockyard Social approves it. Stockyard Social may edit submitted content for format, length, accuracy and consistency, may request changes, and may decline or remove any listing or perk.
4. Partner Numbers
Each business receives a permanent business number (BIZ number) at its first submission or when its listing is first published. A Perk Partner number is assigned when the Business’s first perk goes live. Numbers are never reused or reassigned.
5. Honoring Perks
Partner Claims. Business will defend and indemnify Stockyard Social against third-party claims, reasonable costs, and consumer complaints caused by Business’s failure to honor a valid published perk or by Business’s inaccurate representations, except to the extent caused by Stockyard Social’s own misconduct. Business must promptly notify Stockyard Social of material complaints and cooperate in resolving them.
The Business will honor each published perk for eligible members, as described in the listing, for as long as the perk is published. The Business may change or end a perk through the partner dashboard; a change takes effect when Stockyard Social publishes it. The Business will honor any perk presented by an eligible member before a change or end date takes effect. Members verify eligibility through the App; the Business will not require members to provide additional personal information to receive a perk.
6. Partner Launch Package
The Partner Launch Package is a one-time service priced at $999 and paid in full at purchase. It consists of the onboarding and launch services described at the time of purchase. Purchase of the Partner Launch Package is required to be eligible for the Featured Perk Partner plan. The Partner Launch Package does not guarantee any number of members, visits, redemptions or sales. Refunds are governed by the Refund & Cancellation Policy.
7. Featured Perk Partner
When offered, the Featured Perk Partner plan is priced at $500 per month, billed monthly in advance, and includes the featured placement, campaigns and event opportunities described at the time of purchase. Stockyard Social identifies Featured Perk Partners as featured or sponsored placements. The plan renews monthly until cancelled and may be cancelled effective at the end of the current billing period. Stockyard Social may change the price or contents of the plan for future billing periods with at least 30 days’ notice.
8. Content and Trademarks
The Business grants Stockyard Social a non-exclusive, royalty-free license during the term of these Program Terms to use, reproduce, display and adapt the Business’s name, logos, photos and listing content to operate and promote the program. The Business represents that it owns or has the right to license that content and that its content and perks comply with applicable law. Stockyard Social grants the Business a limited, revocable license to state that it is a Stockyard Social Perk Partner, using marks and materials provided by Stockyard Social and following its brand guidelines.
9. Member Information
Stockyard Social does not provide its member list to Perk Partners. Any member information the Business receives through the program may be used only to provide the perk to that member and may not be used for marketing without the member’s separate consent. The Business will protect any such information and comply with applicable privacy laws.
10. Events on the Campus
On-Site Insurance. Before conducting an approved on-site activity, Business must provide evidence of insurance, permits, and additional-insured endorsements as reasonably specified in a separate event or vendor agreement.
Events or activities hosted by the Business on the Stockyard Social campus are subject to a separate event agreement, including insurance and indemnity requirements.
11. Relationship
Products and Services. Business alone makes and fulfills any product warranties and bears responsibility for its products, services, personnel, and legally required permits. Stockyard Social assumes no independent product warranty obligations merely because Business operates or advertises on Campus.
The parties are independent contractors. Nothing in these Program Terms creates a partnership, joint venture, franchise, agency or employment relationship. The Business is solely responsible for its products, services, premises, staff and perks. Stockyard Social does not endorse or guarantee any Business.
12. Term and Termination
These Program Terms begin when accepted and continue until terminated. Either party may terminate on 14 days’ written notice. Stockyard Social may suspend a listing or terminate immediately if the Business fails to honor a perk, provides false information, harms members or violates these Program Terms or applicable law. On termination, Stockyard Social will remove the listing within a reasonable time, and the Business will honor perks presented by members before removal.
13. Disclaimers and Limitation of Liability
THE PROGRAM IS PROVIDED “AS IS.” STOCKYARD SOCIAL MAKES NO GUARANTEE OF RESULTS, MEMBER TRAFFIC OR REVENUE. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, AND STOCKYARD SOCIAL’S TOTAL LIABILITY UNDER THESE PROGRAM TERMS WILL NOT EXCEED THE FEES PAID BY THE BUSINESS IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
14. Indemnification
The Business will indemnify and hold harmless Stockyard Social from claims, losses and expenses, including reasonable attorneys’ fees, arising from the Business’s products, services, premises or perks, its content, or its breach of these Program Terms.
15. General
Dispute Resolution; Individual Arbitration. Before starting a formal proceeding, the claimant must send written notice describing the dispute and requested relief to hello@stockyardsocial.com (for claims against Stockyard Social) or to the contact information provided by the other party, and allow 30 days for good-faith informal resolution. Except for qualifying individual small-claims actions, claims for provisional injunctive relief in a court with jurisdiction, and disputes that applicable law does not permit to be arbitrated, disputes arising out of this agreement or the Services or Campus activities will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules for individuals or Commercial Arbitration Rules for business-to-business disputes, as applicable. Arbitration will occur in Ada County, Idaho, or remotely if the applicable rules permit or require. Consumer arbitration costs will be allocated under the applicable AAA consumer rules; no provision requires a consumer to pay fees that the rules or law assign to Stockyard Social. Each party bears its own attorney fees unless an applicable statute, rule, or award permits otherwise. To the fullest extent permitted by law, each party may bring claims only in an individual capacity, not as a class or representative plaintiff or member; the arbitrator may not conduct class arbitration. If this class waiver is unenforceable as to a particular claim, that claim will proceed in a court of competent jurisdiction and not in class arbitration. Courts in Ada County, Idaho have jurisdiction over permitted court proceedings and enforcement of arbitral awards, subject to applicable law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision to the extent applicable.
These Program Terms, together with the Terms of Service and any order accepted by Stockyard Social, are the entire agreement on their subject. Stockyard Social may update these Program Terms with at least 30 days’ notice by email or in the partner dashboard. These Program Terms are governed by Idaho law, subject to the dispute resolution provision below. Acceptance in the partner dashboard is a valid electronic signature.
