These Terms of Service (the “Terms”) are a binding agreement between you and Stockyard Social LLC, an Idaho limited liability company (“Stockyard Social,” “we,” “us” or “our”). They govern your use of stockyardsocial.com, my.stockyardsocial.com (“My Stockyard” or the “App”), the partner dashboard, and any related websites, forms, accounts, communications and online services (together, the “Services”).
1. Agreement to These Terms
By creating an account, using the Services, submitting a form or making a purchase, you agree to these Terms and to any additional terms presented for a specific product, program or event, including the Membership & Presale Agreement, the Refund & Cancellation Policy, the Yard Rules & Dog Admission Policy, the Participant Release and Assumption of Risk Agreement, and the Perk Partner Program Terms (together, the “Additional Terms”). If these Terms conflict with Additional Terms, the Additional Terms control for that product, program or event. If you do not agree, do not use the Services.
2. About Stockyard Social
Stockyard Social operates a dog-inclusive social club and community campus at 415 E. Remington Street, Garden City, Idaho 83714 (the “Campus”). Opening dates, amenities, experiences and programming identified as planned, proposed, upcoming, coming soon or conceptual may change as construction, licensing and approvals progress. Images and renderings identified as concepts or illustrations are not representations of finished facilities.
3. Eligibility and Accounts
You must be at least 18 years old to create an account. Each account belongs to one individual and is assigned a permanent personal identifier (a “Stockyard ID”). You may hold only one Stockyard ID. You agree to provide accurate, current information, to keep your sign-in credentials confidential and to notify us promptly of any unauthorized use. You are responsible for activity conducted through your account.
A Stockyard ID remains yours if you leave a Pack, if a membership ends or if you are removed from a Pack. Ending a membership does not delete your Stockyard ID, your records or your purchase history.
If you close your account, you will no longer be able to sign in. Your Stockyard ID is not reissued to anyone else, and records associated with it are retained or deleted as described in our Privacy Policy.
4. Packs and Memberships
A “Pack” is a group of up to the number of adults and registered dogs permitted by the applicable membership. Pack membership, adult seats, the Pack Manager role, dog registration and included benefits are governed by the Membership & Presale Agreement.
5. Purchases and Payments
Third-Party Processing. Payments may be processed through PayPal, Stripe, or other processors identified at checkout. Stockyard Social is not responsible for interruptions or delays caused solely by processors outside its reasonable control, but remains responsible for its own billing errors and obligations that cannot lawfully be disclaimed. Customers should promptly report suspected unauthorized charges.
Prices are stated in U.S. dollars and do not include taxes unless stated. Payments are processed by third-party payment processors, currently PayPal. Stockyard Social does not receive or store full payment-card numbers. You authorize us and our processor to charge the payment method you provide for the purchase you select, including any remaining balance under a payment plan you choose.
We may correct pricing or description errors and may cancel an order affected by an error, with a refund of any amount paid for that order. A purchase is complete when payment is confirmed by the payment processor and recorded by Stockyard Social.
6. Pack Points
Pack Points are a non-monetary loyalty feature. Pack Points have no cash value, are not property, cannot be sold, transferred or exchanged for cash, and may be redeemed only for the rewards and in the amounts shown in the App. Earning rules, redemption options and limits may change prospectively. We may withhold, reverse or cancel Pack Points earned through error, fraud, abuse or a refunded or reversed purchase. Pack Points held in a terminated account are forfeited.
7. Stockyard Wallet and Stockyard Credit
Purchased Credits and Promotional Credits. Credits purchased for money will be identified separately from promotional credits and will retain any protections required by applicable law, including any applicable restrictions on expiration or forfeiture. Promotional credits may expire on disclosed terms; no forfeiture or expiration applies where prohibited by law. Alcohol-related credits are redeemable only if and when applicable licenses and law permit.
The Stockyard Wallet displays balances of Stockyard Credit and other credits by credit type. Unless a credit was purchased for cash, credits are promotional benefits with no cash value, are not redeemable for cash except where required by law, and are not transferable outside your Pack. Each credit type may be used only for the goods or services stated for that type. A credit designated for The Watering Hole may be used only by a person aged 21 or older, only where Stockyard Social holds the required licenses, and only in compliance with applicable law. Expiration terms, if any, are shown with each credit in the Wallet.
8. Stockyard Scan Code
The App may display a personal scan code used to check in at the Gate and to verify membership and benefits. Your scan code is personal to you. Do not share, copy or display it for another person to use. Staff may reset a scan code at any time. Each scan is recorded as described in our Privacy Policy.
9. Your Content
You may submit content such as names, photos of yourself and your dogs, dog profiles, veterinary records, messages, reviews and event responses (“Your Content”). You retain ownership of Your Content. You grant Stockyard Social a non-exclusive, royalty-free license to host, store, copy, display, process and transmit Your Content as needed to operate, secure and improve the Services, including displaying member and dog photos to authorized staff and to other members of your Pack.
You represent that you have the right to submit Your Content, that veterinary and vaccination records you submit are genuine and accurate, and that Your Content does not violate any law or third-party right. We may remove Your Content that violates these Terms or the Yard Rules.
10. Messages and Support
Messages sent through Contact us are stored in our support system so staff can respond. Contact us is not monitored continuously and must not be used for emergencies. In an emergency, call 911. For an urgent animal health concern, contact a veterinarian.
11. Events and RSVPs
Events may be open to Pack Pass members, to holders of a Stockyard ID or to the public, as stated for each event. An RSVP reserves a place subject to capacity, eligibility and the event’s stated rules, including any limit on guests and any dog setting. RSVPs may be changed or cancelled until the cutoff shown for the event. Stockyard Social may change, reschedule or cancel an event and will notify registered attendees through the App or by email.
12. Acceptable Use
You agree not to:
- interfere with or disrupt the Services, attempt unauthorized access or introduce malicious code;
- use another person’s account, Stockyard ID or scan code, or misrepresent your identity or authority;
- submit false, altered or borrowed veterinary or vaccination records;
- scrape, harvest or collect information about other users;
- use the Services for unlawful, fraudulent, harassing or abusive activity; or
- resell memberships, credits, passes or benefits except as expressly permitted.
13. Perk Partners and Third-Party Offers
Perks, discounts and offers made available through the Services by Perk Partners are provided by independent businesses. Each Perk Partner is solely responsible for its products, services, perks and premises. Featured placement identifies a Perk Partner that has paid for promotion. A listing or placement does not mean Stockyard Social endorses or guarantees a Perk Partner.
14. Intellectual Property
The Stockyard Social name, logos, artwork, App and site design, text and related materials are owned by or licensed to Stockyard Social. Except for the limited right to use the Services for their intended purpose, no license is granted to you.
15. Third-Party Services
Payment processing, hosting, email, maps, weather and other features are provided by third parties whose terms and privacy practices apply to their services. We are not responsible for third-party services we do not control.
16. Electronic Communications
You consent to receive transactional, account, membership, safety and policy communications electronically, including by email and in-App notice, and agree that electronic communications satisfy any legal requirement that a communication be in writing. You may opt out of marketing email using the unsubscribe link in any marketing message. Transactional and account messages will continue while you have an account.
When you accept these Terms or any Additional Terms electronically, we keep a record of your account, the document and version you accepted, and the date and time of acceptance. That record is evidence of your agreement.
17. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, STOCKYARD SOCIAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. Information displayed in the App, including Yard status, capacity and weather or air-quality information, is provided for convenience and may not be current.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STOCKYARD SOCIAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES. STOCKYARD SOCIAL’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID STOCKYARD SOCIAL IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS ($100). These limits do not apply to liability that cannot be limited under applicable law. Liability for activities on the Campus is governed by the Participant Release and Assumption of Risk Agreement.
19. Indemnification
You agree to indemnify and hold harmless Stockyard Social and its members, managers, employees and contractors from claims, losses and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, Your Content or your misuse of the Services.
20. Suspension and Termination
You may close your account at any time by contacting us. We may suspend or terminate access to the Services for a violation of these Terms or the Additional Terms, for fraud or abuse, to protect people, animals or property, or as required by law. Sections that by their nature should survive termination will survive.
21. Governing Law and Venue
Dispute Resolution; Individual Arbitration. Before starting a formal proceeding, the claimant must send written notice describing the dispute and requested relief to hello@stockyardsocial.com (for claims against Stockyard Social) or to the contact information provided by the other party, and allow 30 days for good-faith informal resolution. Except for qualifying individual small-claims actions, claims for provisional injunctive relief in a court with jurisdiction, and disputes that applicable law does not permit to be arbitrated, disputes arising out of this agreement or the Services or Campus activities will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules for individuals or Commercial Arbitration Rules for business-to-business disputes, as applicable. Arbitration will occur in Ada County, Idaho, or remotely if the applicable rules permit or require. Consumer arbitration costs will be allocated under the applicable AAA consumer rules; no provision requires a consumer to pay fees that the rules or law assign to Stockyard Social. Each party bears its own attorney fees unless an applicable statute, rule, or award permits otherwise. To the fullest extent permitted by law, each party may bring claims only in an individual capacity, not as a class or representative plaintiff or member; the arbitrator may not conduct class arbitration. If this class waiver is unenforceable as to a particular claim, that claim will proceed in a court of competent jurisdiction and not in class arbitration. Courts in Ada County, Idaho have jurisdiction over permitted court proceedings and enforcement of arbitral awards, subject to applicable law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision to the extent applicable.
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. Disputes are governed by the individual arbitration provision below.
22. Changes to These Terms
We may update these Terms by posting a revised version with a new effective date. If a change is material, we will provide notice through the App or by email before it takes effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
