This Membership & Presale Agreement (the “Agreement”) is between Stockyard Social LLC (“Stockyard Social”) and the person who purchases a Pack Pass membership (the “Purchaser”). It applies to the One-Year Pack Pass, the Three-Year Pack Pass, the VIP Pack Pass and any other Pack Pass plan offered by Stockyard Social (each, a “Membership”). The Terms of Service, Refund & Cancellation Policy, Yard Rules & Dog Admission Policy and Participant Release and Assumption of Risk Agreement are incorporated into this Agreement.
1. Memberships and Prices
Unless a different price is shown at checkout, Memberships are offered at the following prices:
One-Year Pack Pass: $499 for a 12-month term.
Three-Year Pack Pass: $899 for a 36-month term.
VIP Pack Pass: $1,499 for a 36-month term.
Any other Membership plan is offered at the price, term and benefits shown at checkout. Presale prices are available only during the presale period stated at checkout.
2. Payment
The Purchaser may pay in full or, where offered, pay 50% at checkout and the remaining 50% within 30 days of the first payment. A Membership paid by the 50% option is partially active until the balance is received. While a balance is due, benefits that require payment in full, as identified in the App, are not available; all benefits become available when the full price is paid. If the balance is not paid when due, Stockyard Social may cancel the Membership as provided in the Refund & Cancellation Policy.
3. Nature of the Purchase
A Membership is a license to use the Campus and receive the stated benefits. It is not an investment, security, ownership interest, loan, charitable contribution or promise of any financial return.
4. Opening and Activation
Temporary and Extended Closures. Temporary interruptions due to weather, smoke, safety, maintenance, staffing, or governmental orders do not ordinarily result in prorated refunds or extensions. If substantially all member access to the Campus is unavailable for more than 30 consecutive days after activation, Stockyard Social will extend the affected membership by the number of consecutive days beyond the first 30, unless a refund or other remedy is required by law. Stockyard Social will notify affected members of the remedy.
Extended Presale Delay. If membership activation has not occurred within 180 days after November 15, 2026, the Purchaser may request cancellation and a refund of amounts paid for the unactivated membership, less the fair value of benefits actually delivered and accepted, to the extent permitted by law. This remedy does not limit nonwaivable legal rights.
The Campus opens on Sunday, November 15, 2026 to Pack Pass members only. Access for the general public will begin on a date announced by Stockyard Social after required licenses and approvals are in place. The Membership term begins on the official activation date announced by Stockyard Social, not the purchase date. Construction, licensing, weather and approvals may affect the availability of specific spaces and experiences. Stockyard Social will communicate material changes to the Purchaser by email or in the App. Because the term begins on the activation date, a delay in opening does not shorten the term purchased.
5. The Pack and Adult Seats
Each Membership covers one Pack. The number of adult seats in a Pack depends on the Membership:
One-Year Pack Pass, Three-Year Pack Pass and standard monthly plans: two (2) adult seats.
VIP Pack Pass: four (4) adult seats.
The Purchaser becomes the Pack Manager and occupies one adult seat. The Pack Manager may invite other adults to fill the remaining seats. An invited adult joins the Pack only after accepting the invitation, in the App or as otherwise directed by Stockyard Social, using that adult’s own Stockyard ID. Each adult may occupy only one paid adult seat at a time.
An adult may leave a Pack, and the Pack Manager may remove an adult from a Pack. Leaving or removal frees the seat and does not delete that adult’s Stockyard ID, records or purchase history. The Pack Manager role may be transferred to another adult in the Pack only with the authorization of the current Pack Manager and the acceptance of the new Pack Manager.
Children and dependents do not occupy adult seats. Admission of minors is governed by the Yard Rules & Dog Admission Policy.
6. Registered Dogs
A Pack may register up to three (3) dogs that live in the Pack’s household. A dog fostered through a rescue organization that partners with Stockyard Social and living in a Pack member’s home may be registered as part of the Pack, and a Pack fostering through a partner rescue receives one additional rotating foster-dog spot. Each dog must be cleared under the Yard Rules & Dog Admission Policy before entering the Yard. Dog records are not deleted when a Membership changes or ends.
7. Included Benefits
Benefits are those stated on the purchase page at the time of sale, subject to the limitations stated there and in this Agreement. Benefits identified as limited are provided once per Pack, not once per adult.
8. Cooler and Welcome Fill
Credit Classification. Any Stockyard Credit issued as a welcome benefit is promotional unless the checkout expressly identifies it as purchased credit. The App will display applicable redemption limits and expiration terms, subject to law.
Each One-Year, Three-Year and VIP Pack Pass includes one complimentary cooler and one welcome fill. The Pack Manager or another adult authorized by the Pack chooses one welcome fill from the options offered by Stockyard Social, which may include an IdaPets raw diet selection, an IdaPets treat box or a Watering Hole Credit in the amount stated for the Membership tier. The Watering Hole Credit option is available only after Stockyard Social holds the licenses required to sell alcoholic beverages, may be redeemed only by a person aged 21 or older, and is subject to applicable law. If the Watering Hole Credit option is not available, the Pack may choose another welcome fill. A welcome fill may be changed until it is being prepared. Comparable substitutions may be provided if a selected item is unavailable.
9. Guest Dogs
Members may share a personal invitation link that provides one complimentary first visit for a new guest dog after the guest dog is cleared. One-Year and Three-Year Pack Pass members receive two Returning Guest Dog Passes each month, and VIP Pack Pass members receive four, for cleared dogs that have already used their complimentary first visit. No more than one returning guest dog may be admitted per Pack per day, and the same guest household may use one pass every seven days. Unused passes expire at the end of each month, do not roll over and have no cash value. Guest-dog access is subject to capacity, clearance, signed releases and event restrictions.
10. Future Facilities
Benefits that relate to planned future phases, including Recovery Yard credits, begin only when the applicable facility is built, approved and open.
11. Former Clubhound Members
Stockyard Social is a separate business and is not a continuation of, successor to or purchaser of Clubhound or its memberships, customer lists or obligations. As a voluntary community benefit, a person who reports and attests in the App to remaining time on a Clubhound membership may make one choice, once per Pack, before the deadline shown in the App:
- a Pack without a Pack Pass may receive complimentary entry for the remaining Clubhound time reported, up to six (6) calendar months measured in Mountain Time from the later of the Campus opening date and the date of the claim; or
- a Pack with a Pack Pass may receive $150 in Stockyard Credit.
This benefit is provided on an honor system based on the member’s attestation. Stockyard Social may reverse a benefit obtained by an inaccurate attestation. The benefit has no cash value and is not transferable.
12. Referral Pack Points
A member may earn Pack Points when a person using that member’s personal invitation link completes an eligible paid Membership purchase and the cancellation period for that purchase has ended. Creating a profile or redeeming a complimentary first visit does not by itself earn referral Pack Points. Pack Points are governed by the Terms of Service.
13. Use Restrictions
Unapproved Commercial Activities. Solicitation, professional photography, independent dog training, paid services, commercial promotions, and other business activity on the Campus require prior written permission.
A Membership is for personal use by the Pack. It may not be used for commercial dog walking, boarding, training or daycare, or for dogs from outside the Pack except as a guest dog. One adult may handle no more than two dogs at one time. A Membership may not be resold or transferred without Stockyard Social’s written approval.
14. Rules, Releases and Conduct
Safety Action. Staff may immediately suspend entry or remove a person or dog reasonably believed to present a safety threat, pending management review. Membership termination for serious safety misconduct may be without refund except as required by law.
Gate Admission. Each adult entering a dog-access area must have a current Participant Release on file. Each dog must be Cleared and have valid admission rights. Staff may document a paper-signed release, identifying the signer, document version, staff member, and date and time.
Entry to the Campus and the Yard requires compliance with the Yard Rules & Dog Admission Policy, a signed Participant Release and Assumption of Risk Agreement for each adult, and applicable law. Cabanas, services, food and beverages, select events, reservations and other premium experiences may carry additional charges. Stockyard Social may suspend or terminate a Membership, or the access of any person or dog, for unsafe, abusive, fraudulent or seriously disruptive conduct, or for a violation of this Agreement or the Yard Rules. A Membership terminated for cause is not eligible for a refund except where required by law.
15. Program Changes
Operating hours, vendors, programming, menus, spaces and specific offers may change. Stockyard Social will not materially reduce the core Membership solely to avoid delivering the value purchased.
16. Cancellation and Refunds
Cancellation and refunds are governed by the Refund & Cancellation Policy. If Stockyard Social definitively cancels the opening of the Campus before activation, it will provide a refund or other remedy required by applicable law.
17. Electronic Communications and Records
The Purchaser consents to receive transaction, membership, opening, safety and policy communications electronically and agrees that acceptance of this Agreement at checkout or in the App is a valid electronic signature.
18. Changes to This Agreement
Stockyard Social may update this Agreement by posting a revised version with a new effective date and providing notice to Purchasers by email or in the App before a material change takes effect. A change will not reduce the price paid, shorten the purchased term or remove a benefit already purchased without the Purchaser’s consent, except as required by law.
19. General
Dispute Resolution; Individual Arbitration. Before starting a formal proceeding, the claimant must send written notice describing the dispute and requested relief to hello@stockyardsocial.com (for claims against Stockyard Social) or to the contact information provided by the other party, and allow 30 days for good-faith informal resolution. Except for qualifying individual small-claims actions, claims for provisional injunctive relief in a court with jurisdiction, and disputes that applicable law does not permit to be arbitrated, disputes arising out of this agreement or the Services or Campus activities will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules for individuals or Commercial Arbitration Rules for business-to-business disputes, as applicable. Arbitration will occur in Ada County, Idaho, or remotely if the applicable rules permit or require. Consumer arbitration costs will be allocated under the applicable AAA consumer rules; no provision requires a consumer to pay fees that the rules or law assign to Stockyard Social. Each party bears its own attorney fees unless an applicable statute, rule, or award permits otherwise. To the fullest extent permitted by law, each party may bring claims only in an individual capacity, not as a class or representative plaintiff or member; the arbitrator may not conduct class arbitration. If this class waiver is unenforceable as to a particular claim, that claim will proceed in a court of competent jurisdiction and not in class arbitration. Courts in Ada County, Idaho have jurisdiction over permitted court proceedings and enforcement of arbitral awards, subject to applicable law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision to the extent applicable.
This Agreement, together with the incorporated documents, is the entire agreement regarding the Membership. If any provision is unenforceable, the remaining provisions remain in effect. This Agreement is governed by Idaho law, subject to the dispute resolution provision below.
20. Contact and Acceptance
Questions may be sent to hello@stockyardsocial.com. By completing checkout and affirmatively accepting this Agreement, the Purchaser confirms that the Purchaser has read and agrees to it.
